Item 8.01 Other Events.

On February 18, 2005, Forward Industries Inc., issued a press release announcing that it had entered into a nonexclusive license agreement with SAGEM to design manufacture and sell SAGEM branded cellular phone carrying solutions in the European, Middle Eastern and African (EMEA) markets.  A copy of the press release is attached as Exhibit 99.1.
