This filing relates to a planned merger (the "Merger") between Hewlett-Packard
Company ("HP") and Compaq Computer Corporation ("Compaq") pursuant to the terms
of an Agreement and Plan of Reorganization, dated as of September 4, 2001 (the
"Merger Agreement"), by and among HP, Heloise Merger Corporation and Compaq. The
Merger Agreement is on file with the Securities and Exchange Commission as an
exhibit to the Current Report on Form 8-K, as amended, filed by Hewlett-Packard

The following is a letter written by Vyomesh Joshi, HP's President, Imaging and
Printing Systems, to the editor of the Investors Business Daily.

Dear Editor:

Your January 8th article, "HP's Print Potential At Issue", presents an
inaccurate view of the impact of the Compaq merger to the HP imaging and
printing (IPS) business. HP was not provided the opportunity to comment on the
merger for this article, and your readers are entitled to the following facts:

o    Walter Hewlett's assertion that the merger will "hamstring" IPS is flawed.
     In fact, the merger will provide key benefits such as the ability to
     reinvest for growth, access to new enterprise accounts and the benefits of
     a direct selling model. The merger's ability to enable improved
     profitability in other businesses will create greater flexibility for
     expanded investment in core IPS R&D and new initiatives.

o    The premise that the merger will drain resources from the printing business
     or negatively impact digital printing's promise could not be further from
     the truth. HP today participates in printing and imaging, enterprise
     computing, devices, networking and services -- all of which are essential
     to delivering end-to-end digital imaging solutions for consumers and
     businesses. The merger with Compaq bolsters our capabilities in these areas
     and provides new capabilities in important areas like mobility, storage,
     fault-tolerant computing, user-interface design and new kinds of devices --
     all of which will further enhance our position in digital imaging.

o    The article notes HP's move into the high-end commercial printing market,
     including our [announcement that HP has entered into a definitive agreement
     to acquire] Indigo N.V. but suggests that a merger with Compaq won't add to
     this because of Compaq's focus on PCs. Again, the article misses a key
     point, which HP outlines clearly in a Dec. 19, 2001 SEC filing, that Compaq
     brings more to the table than PC assets. The commercial printing market is
     currently undergoing a transformation that relies on powerful computer
     systems. Having Compaq's assets will help accelerate HP's ability to
     compete in this business and better serve our customers.

HP has long been a leader in imaging and printing, and the merger with Compaq
will strengthen our ability to innovate and deliver solutions for these exciting
new markets and new customers.
