This filing relates to a proposed acquisition (the Acquisition) by Harrahs Entertainment, Inc. (Harrahs) of Caesars Entertainment, Inc. (Caesars) pursuant to the terms of an Agreement and Plan of Merger, dated as of July 14, 2004 (the Merger Agreement), by and among Harrahs, Harrahs Operating Company, Inc. and Caesars.
