Item 9.01 Financial Statements and Exhibits.

        In our Form 8-K that we filed on December 8, 2004, with regard to the acquisition of two industrial facilities comprising 445,636 square feet that are located in Fort Worth, TX and Atlanta, GA, we indicated that we would file financial statements relating to this acquisition by an amendment to the Form 8-K. We have since determined that we are not required to file such financial statements as the aforementioned industrial facilities were constructed during 2004 and for that reason have no previous operating history.
