Notice of Annual Meeting of Stockholders

 

The 2009 Annual Meeting of stockholders of Hewlett-Packard Company will be held on Wednesday, March 18, 2009, at 2:00 p.m., local time, at the Santa Clara Convention Center, 5001 Great America Parkway, Santa Clara, California.

 

The matters intended to be acted upon at the meeting are listed below:

 

1.     Election of directors: Lawrence T. Babbio, Jr., Sari M. Baldauf, Rajiv L. Gupta, John H. Hammergren, Mark V. Hurd, Joel Z. Hyatt, John R. Joyce, Robert L. Ryan, Lucille S. Salhany, and G. Kennedy Thompson.

 

2.     Proposal to ratify the appointment of the independent registered public accounting firm for the fiscal year ending October 31, 2009.

 

3.     To consider such other business as may properly come before the meeting.

 

The Board of Directors recommends that you vote FOR the election of each of the nominees for director and FOR the ratification of the appointment of the independent registered public accounting firm for the 2009 fiscal year.
