Item 2.02.  Results of Operations and Financial Condition.

On January 27, 2010, Rurban Financial Corp. (the “Company”) issued a news release reporting financial results for the fiscal year and fourth quarter ended December 31, 2009.  A copy of the January 27, 2010 news release is furnished as Exhibit 99.1 and is incorporated herein by reference.

Item 8.01.  Other Events.

As reported in the January 27, 2010 news release, the Company’s Board of Directors has decided to suspend its quarterly cash dividend to shareholders at this time.  The Company’s Board of Directors will assess the payment of dividends, if any, on a quarterly basis going forward based on economic conditions and the Company’s operating results.
