On February 24, 2014, Kellogg Company issued a press release announcing the commencement of a cash tender offer for up to $700 million combined aggregate principal amount of its 2.750% Senior Notes due 2023, its 3.125% Senior Notes due 2022 and its 4.000% Senior Notes due 2020. A copy of the press release announcing the cash tender offer is attached hereto as Exhibit 99.1 and incorporated by reference herein.
