EXPLANATORY NOTE

CyberArk Software Ltd. (the “Company”), today announced the results of the Company’s Special General Meeting of Shareholders (the “Meeting”), which was held on Thursday, December 18, 2014. At the Meeting, the Company’s shareholders voted on two proposals, each of which was described in the Company’s proxy statement that was attached as Exhibit 99.1 to the Company’s Report of Foreign Private Issuer on Form 6-K furnished to the Securities and Exchange Commission on November 20, 2014. A quorum was present and each matter voted upon was duly approved.
