Item 7.01  Regulation FD Disclosure.

On April 19, 2007, Umpqua Holding Corporation announced during its regularly scheduled investor conference call that the pending merger transaction with North Bay Bancorp is expected to close by the end of April and is expected to be accretive by up to $0.04 to Umpqua’s operating earnings per share in 2007. The Company also announced that it has factored a 36% (of North Bay Bancorp's budgeted non-interest expense) cost savings into its projections following system integration.
