This filing relates to a planned merger (the "Merger") between
Hewlett-Packard Company ("HP") and Compaq Computer Corporation ("Compaq")
pursuant to the terms of an Agreement and Plan of Reorganization, dated as of
September 4, 2001 (the "Merger Agreement"), by and among HP, Heloise Merger
Corporation and Compaq.  The Merger Agreement is on file with the Securities
and Exchange Commission as an exhibit to the Current Report on Form 8-K, as
amended, filed by Hewlett-Packard Company on September 4, 2001, and is
incorporated by reference into this filing.

The following is a letter written by Sam Ginn, a member of HP's board of
directors, to the editor of The New York Times. This letter appeared in the

Re "Hewlett-Packard's Destiny" (editorial, Nov. 25): The changes under way at
Hewlett-Packard were developed in full cooperation with an active board of
directors motivated by a sense of responsibility for the company's future.
Building an enduring enterprise requires a willingness to determine where
industries and markets will be years ahead, and balancing the conflicting
interests of shareowners, customers, communities and, sometimes, the descendants
of founding families.

The board has spent the last two years evaluating strategic alternatives, and we
unanimously endorsed the merger with Compaq as the best way to accelerate
Hewlett-Packard's long-term growth and strengthen its position in every category
in which it competes. The combined company will be far stronger in critical
growth segments of the business. We will strengthen our market position in
enterprise storage and servers, and we believe that we can improve the
performance of the PC business through increased scale, cost savings and a more
efficient distribution model.

The combination with Compaq will create a stronger, more balanced operating
model, with greater free cash flow and a stronger balance sheet, enabling
Hewlett-Packard to continue to invest in and drive innovation. Creating value is
the "HP way," and the beneficiaries will be our customers, partners and
employees as well as our shareholders. Hewlett-Packard can't stand still or
retreat into the past. Change is inevitable; we can be engulfed by it or control
our own destiny.
