This filing relates to a planned merger (the "Merger") between Hewlett-Packard
Company ("HP") and Compaq Computer Corporation ("Compaq") pursuant to the terms
of an Agreement and Plan of Reorganization, dated as of September 4, 2001 (the
"Merger Agreement"), by and among HP, Heloise Merger Corporation and Compaq. The
Merger Agreement is on file with the Securities and Exchange Commission as an
exhibit to the Current Report on Form 8-K, as amended, filed by Hewlett-Packard

PACKARD FOUNDATION ANNOUNCES PRELIMINARY INTENT TO VOTE AGAINST MERGER


Following a meeting held at its Los Altos, California, headquarters
December 7, the board of directors of the David and Lucile Packard Foundation
announced that it had "preliminarily determined" that the nonprofit
organization intends to vote its shares against HP's proposed merger with
Compaq.  The foundation is the largest single owner of HP stock with about
201.3 million shares, or about 10.4 percent of the total number of HP shares
outstanding.

"The board of trustees understands the strategic considerations being
addressed by management," said Susan Packard Orr, foundation chairman and
daughter of co-founder David Packard, "but after thorough study and analysis,
the board has preliminarily decided, on balance, that the best interests of
the foundation would be better served by Hewlett-Packard not proceeding with
the proposed transaction."

Last month, Walter Hewlett and David Woodley Packard -- sons of HP's
co-founders -- announced their intention to oppose the merger, saying that
they intended to vote against the deal with their shares and the shares held
by the family foundations and trusts each of them controls.  In total, the
number of shares held by Hewlett and Packard, their foundations and
representatives, Susan Packard Orr and the Packard Foundation comprise about
18 percent of the total HP shares outstanding.

"We are disappointed by the Packard Foundation's preliminary decision,"
stated a joint press release from HP and Compaq in response to the
announcement.  "Nevertheless, our responsibility to shareowners, customers
and employees requires that we maintain a pragmatic view of the business and
a focus on the future. Our firm commitment to this merger stems from our
conviction that it will deliver the industry leadership and earnings growth
our shareowners expect and our employees deserve.

Over the coming weeks and months, we intend to continue communicating its
merits to our broad shareowner base."

The majority of the shares of HP stock -- about 57 percent -- are held by
institutional owners.  An additional 25 percent are owned by retail
customers.  HP employees hold about 3 percent of the stock, which is held in
both the retail and institutional categories.
