 ITEM 5.05. Amendments to the Registrant's Code of Ethics, or Waiver of a Provision of the Code of Ethics
On December 21, 2005, the Audit Committee of the Board of Directors of American Eagle Outfitters, Inc. (the "Company") approved an updated Code of Ethics (the "Code") for the Company's employees, officers and directors. The Code was updated to expand the conflicts of interest and gifts and entertainment sections as well as to add the confirmation of compliance section. The Code is being filed herewith as Exhibit 14. A copy of the Code is also available on the Company's website at www.ae.com.
