Item 8.01. Other Events.
On December 23, 2009, the Delaware Court of Chancery approved the proposed settlement (the
“Settlement”) of the consolidated class and derivative action that was filed in connection with
Builders FirstSource, Inc.’s (the “Company”) previously announced recapitalization. The terms of
the Settlement are as set forth in the definitive Stipulation and Agreement of Compromise,
Settlement, and Release among the parties dated November 5, 2009. The Company has issued a press
release regarding the Delaware Court of Chancery’s approval of the Settlement, which press release
is attached as Exhibit 99.1 to this report and incorporated herein by reference.
