Item 7.01 Regulation FD Disclosure

     On July 11, 2006, Cardinal Health, Inc. (the “Company”) agreed to repurchase $395 million of its common shares in a private transaction with an unaffiliated third party. This share repurchase, which will be completed this week, is part of a new $500 million share repurchase program approved by the Company’s Board of Directors on June 28, 2006. The Company completed the $500 million share repurchase program announced on April 27, 2006 during the fourth quarter of its fiscal year ended June 30, 2006.
