ITEM 5.02(b)  NEW CHAIRMAN OF BOARD OF DIRECTORS

     On May 13, 2008, the Board of Directors of the Company elected Philip Sassower as Chairman of the Board.  Former Chairman, Jeffrey J. Steiner, will remain as Chief Executive Officer of the Company.  The election by the Board of Directors took place after the annual meeting of shareholders, at which eight nominees were elected, all of whom were continuing directors.  Further details are provided in the press release attached hereto as Exhibit 99.1.
